Chapter 1 General Provisions
Article 1 Name
This association shall be called the Korean Scientists and Engineers Association in the UAE (abbreviated as KSEAU). The English name is Korean Scientists and Engineers Association in the UAE (abbreviated as KSEAU).
Article 2 Location
The association’s location shall be in Abu Dhabi or Dubai, with the specific address determined by the composition of the executive board.
Article 3 Purpose
This association is a gathering of Korean scientists and engineers residing in the UAE, aiming to enhance academic advancement and mutual bonds among members, and to promote scientific and technological exchanges between Korea and the UAE.
Article 4 Core Activities
To achieve the purpose stated in Article 3, the association shall undertake the following activities:
1. Support academic and technical exchanges among members
2. Facilitate academic information exchange and strengthen ties between Korean and other international scientists and engineers and association members
3. Cooperate on talent recruitment projects needed by Korean scientists and industry
4. Sponsor training for science and technology personnel within the UAE
5. Promote other projects deemed appropriate to the association’s objectives
Article 5 Fiscal Year
The fiscal year of the association shall be from January 1 to December 31.
Chapter 2 Members
Article 6 Membership Qualifications and Types
Members are Koreans and nationals or organizations residing in the UAE and surrounding countries, where “surrounding countries” means countries without an association of the same nature.
Membership types and qualifications are as follows:
1. Regular Members: Those with a master’s degree or higher in science and technology, or a bachelor’s degree plus over 5 years’ experience, or currently enrolled in a doctoral program, or recommended by the council from associate members, or skilled professionals with over 5 years of practical experience
2. Associate Members (Student Members): Those currently enrolled in university or technical college programs in science and technology
3. Organizational Members: Institutions or companies in the science and technology sector that agree with the association’s purpose and activities
4. Honorary Members: Those who have made significant contributions to the development of science and technology or the achievement of the association’s goals, recommended by the council
5. Returned Members: Members who have returned to Korea or no longer reside in the UAE
Article 7 Acquisition of Membership
Membership is granted upon submission of the prescribed application form and approval by the association president.
Article 8 Loss of Membership
Membership is lost in cases of expulsion, withdrawal, or death. Withdrawal is effective upon submission of a written notice to the president.
Article 9 Member Rights
1. Members have the right to participate in projects and events aligned with the association’s purpose and activities.
2. Members have voting and candidacy rights. However, only regular members can run for president and vice president.
Article 10 Member Duties
1. Members must comply with the association’s rules and cooperate in its activities.
2. Members are required to pay dues. Honorary members are exempt.
Article 11 Expulsion of Members
If a member violates the rules, obstructs activities, or damages the association’s reputation, the general assembly may expel the member with at least three-fourths of the attending members’ approval.
Chapter 3 Officers
Article 12 Composition of Officers
1. One President
2. One to two Vice Presidents
3. Two Auditors
4. Up to four Directors (including General Affairs, Accounting, Academic Affairs, Public Relations)
5. Up to thirty Councilors (including heads of specialized committees)
Article 13 Election of Officers
1. The President, Vice Presidents, and Auditors are recommended by the Council and elected by the General Assembly.
2. The President forms and appoints the Board of Directors and obtains approval from the Council.
3. Heads of specialized committees are elected by their respective committees and approved by the Council.
Article 14 Term of Office
1. Officers serve for up to three years.
2. Officers may be re-elected once.
3. Vacancies are filled according to Article 13’s election procedures. If the remaining term is six months or less, a new officer shall be elected.
Article 15 Duties of Officers
1. The President represents the association externally, oversees its affairs, and presides over the General Assembly and Council.
2. The Vice President records and preserves minutes and documents, assists the President, and acts on behalf of the President if absent.
3. Auditors audit accounts and report results to the Council and General Assembly.
4. Directors assist the President and execute duties.
5. Specialized committees are established according to related fields, and their heads represent the committees in the Council.
Chapter 4 Meetings
Article 16 General Assembly
The General Assembly is the highest decision-making body, consisting of regular and extraordinary sessions.
1. Convening
- Regular assemblies are held once annually.
- Extraordinary assemblies are convened in cases such as:
o Written request by at least 1/10 of members
o Request by the Executive Board and approval by at least 1/3 of councilors
o Request by at least half of the councilors
- Notices with agendas are sent out four weeks before the meeting in the name of the President.
2. Quorum and Resolutions
- A quorum requires attendance of at least 1/10 of members. If not met, the President must reconvene within eight weeks.
- Decisions require a majority of valid votes unless otherwise specified. - Elections are conducted by anonymous secret ballot.

3. Functions
- Report on Council activities
- Midterm report on projects and settlements by the Executive Board
- Midterm audit report
- Election of next President and Vice Presidents
- Approval of next Auditors - Membership admissions and expulsions
- Approval of by-law amendments

- Other agenda items
Article 17 Council
The Council acts as the decision-making body on behalf of the General Assembly.
1. Composition:
- Executive Board (President, Vice Presidents, Auditors)
- Directors (General Affairs, Accounting, PR, Academic Affairs)
- Councilors (Special Committee Chairs)
2. Convening, quorum, and voting:
- Convened by the President or upon request by 1/3 of councilors, with 2/3 quorum.
- Regular meetings held at least twice annually, may coincide with the General Assembly.
- Decisions require majority attendance unless otherwise specified.
- The President usually chairs.
- The chair does not vote but has a casting vote in ties.
- Councilors may delegate voting rights in writing.
3. Responsibilities:
- Recommend President, Vice Presidents, and elect Auditors
- Confirm by-law amendments
- Approve projects and budgets
- Establish or dissolve specialized and special committees
- Establish or merge regional meetings
- Recommend honorary members
- Decide on membership admissions and expulsions
- Set membership dues
- Submit matters requiring General Assembly approval
- Other Council responsibilities
Article 18 Executive Meetings
1. Composition:
- Executive Board (President, Vice Presidents, Auditors)
- Directors (General Affairs, Accounting, PR, Academic Affairs)
2. Convening, quorum, and voting:
- Convened by the President or upon request by 1/3 of directors, with 2/3 quorum.
- Regular meetings held at least twice annually, may coincide with the Council.
- Decisions require majority attendance unless otherwise specified.
- The President usually chairs.
- The chair does not vote but has a casting vote in ties.
- Voting rights may be delegated in writing.
3. Responsibilities:
- Manage association projects and administration
- Discuss by-law amendments
- Approve projects and budgets
- Submit matters for Council approval
- Other Executive responsibilities
Chapter 5 Finance and Accounting
Article 19 Finances
The association’s finances shall be covered by:
1. Membership dues
2. Donations and sponsorships
3. Income and grants related to projects
4. Other income
Article 20 Budget Preparation and Approval
The Executive Board prepares the budget. The General Affairs Director submits it for review and final approval by the Executive Board. Approved budgets are announced to all members at the General Assembly.
Article 21 Expenditures and Settlement
The Accounting Director manages expenditures. Financial statements are reported twice yearly to the Executive Board and announced to all members at the General Assembly with the Auditor’s report.
Article 22 Fiscal Year
The fiscal year aligns with the business year (January 1 to December 31, per Article 5).
Chapter 6 Miscellaneous
Article 23 Amendments to By-laws
By-laws may be amended by at least two-thirds approval of councilors present at the Council and ratified by at least two-thirds approval of members at the General Assembly.
Article 24 Effective Date
By-laws and amendments become effective immediately upon approval at the General Assembly.
